Japan Sustainable Palm Oil Network (JaSPON)  Membership Regulations

　パーム油の主要生産国であるインドネシアとマレーシアでは、依然として環境面および
社会面のさまざまな問題が指摘されている 。これらの問題解決の一助とすべく、パーム油
の消費国として、日本でも持続可能なパーム油の利用を更に加速していく必要があると考
える法人および団体が集まり「持続可能なパーム油ネットワーク（JaSPON）」（以下、本会
とする）を立ち上げた。
　本会は、日本市場における持続可能なパーム油の調達と消費の促進に寄与することにより、
パーム油産業の環境面・社会面の課題改善に貢献する。
　これは、法人や団体による個々の取り組みだけで持続可能なパーム油の利用を社会全体
に広げることは困難でも、メンバーが協働しつつ、それぞれの立場でも取り組みを推進す
ることを通じて、持続可能なパーム油の調達と消費の拡大、浸透を目指す取り組みである。

    The “Japan Sustainable Palm Oil Network (JaSPON)” (hereinafter referred to as "JaSPON") 
was launched with the aim of helping to solve the significant environmental and social challenges 
faced by Indonesia and Malaysia, the world’s top palm oil producers. The corporations and 
associations behind JaSPON strongly believe in the need to further accelerate the sustainable 
use of palm oil in Japan, a major consume.
    JaSPON seeks to make a contribution towards alleviating the palm oil industry’s 
environmental and social impact by promoting the procurement and consumption of 
sustainable palm oil in the Japanese market.
    It would be too difficult for single corporations or associations to bring about the widespread use of 
sustainable oil t hroughout the entire society solely through their individual efforts. Our objective is 
to expand the procurement and consumption of sustainable palm oil through the cooperation of all 
our members each one 
contributing according to their ability.


会則

第1章　総則

（名称）
第1条　本会は持続可能なパーム油ネットワークと称する。英文ではJapan Sustainable Palm Oil Network
　と表示し、略称をJaSPONとする。
（事務所）
第2条　本会は、主たる事務所を東京都港区三田1丁目4 番28号（WWF ジャパン）に置く。
2　その期間は本会則制定日より1年間とし、その後は最適な事務所を本会会員で検討する。

（目的）
第3条　本会は、会員間の情報共有、意見交換、その他の活動を通して、RSPO認証の持続可能なパーム油
　の調達と消費を産業界全体に促すことを目的とする。

（活動内容）
第4条　本会は、第3条の目的を達成するために、次の活動を行う。
（1）持続可能なパーム油の調達に関する情報収集及び情報提供
（2）持続可能なパーム油の調達と消費を促進する活動
（3）会員相互の情報交換、会員のための情報提供
（4）外部組織に対し、日本のステークホルダーの意見をまとめ交渉する窓口
（5）その他、本会の目的を達成するために必要な活動

第2章　会員及び役員

（会員）
第5条　本会の会員は、本会の目的に賛同した、自ら持続可能なパーム油の調達または使
　用に取組む法人、および持続可能なパーム油の調達推進に関与する法人または団体とする。
2　本会に入会できる法人または団体は、次のとおりとする。
（1）パーム油の加工、製造、販売を事業とする法人
（2）パーム油を用いた消費者製品の製造販売を事業とする法人
（3）パーム油を用いた消費者製品の小売／卸を事業とする法人
（4）銀行および投資家関係者
（5）RSPOの審査活動を行う機関
（6）持続可能なパーム油の調達／消費推進を目的として活動する団体
（7）上記(1)～(5)のグループ会社／子会社は親会社の入会により含まれる含まれることとするが、
　グループ会社／子会社のみの入会を妨げない
（8）その他特別に入会すべきと理事会が認めた者
3　本会に入会できる法人または団体は、持続可能なパーム油の調達に関する活動実績がある、
　もしくはこれから取組む意思があると理事会が認めた法人または団体とする。

（入会）
第6条　入会を希望するものは、所定の様式の入会申込書を理事会へ提出し、理事の過半数の承認を
　もって入会とする。
2　会員は会員組織の代理人1名を事務局に届け出るものとする。

（退会）
第7条　本会を退会するものは、退会意思を理事会へ届けるものとする。

（除名および資格停止および資格停止）
第8条　会則に違反又は会の目的に反する行為があったと認めるときは、理事会の決議により会員を
　除名もしくは資格停止とすることができる。

（役員の選任）
第9条　本会に、次の役員を置き、理事会を設置する。
（1）理事4名以上20名以下
2　理事は会員から推薦のあった外部有識者、もしくは会員からの立候補／推薦から理事会が選定する。
3　理事のうち1名を会長とする。
4　会長は、理事の互選で決めるものとする。
5　会長の委嘱にもとづき、副会長を置く。

（役員の職務）
第10条　会長は、本会を代表し、その業務を統轄する。
2　副会長は、会長を補佐し、会長に事故があるとき、または会長が職を辞したときは、その職務を代理する。
3　理事は、理事会を構成し、本会則及び理事会の議決に基づき、本会の業務を執行する。

（役員の任期）
第11条　役員の任期は1年とする。ただし、再任を妨げない。
2　補欠または増員により選任された役員の任期は、他の理事と同一とする。
3　退職・異動等の事情による任期途中の役員の交代については、退任する役員が同一組織内から交代する
　役員を指名する。ただし、交代により指名された役員の任期は、前任者の残任期間とする。

（役員の解任）
第12条　会則に違反又は会の目的に反する行為があったと認めるときは、理事会の決議により
　役員を解任することができる。

第3章　会の運営会の運営

（理事会）
第13条　理事会は、会長が招集理事会は、会長が招集する。
2　理事会は次の事項を議決する。議決はメールをもって行うことも可とする。
（1）役員の選任、解任、交代
（2）会則の変更
（3）会員の入会・除名の承認
（4）合併、解散
（5）その他本会の運営に関する必要な事項

（議決）
第14条　理事会の議事は、出席した構成員の過半数の同意で決し、可否同数のときは議長の決するところによる。
2　理事会の議長は会長とする。

附則
1　本会則は2019年4月1日から施行する。
2　本会の設立当初の理事は、設立発起団体・発起人会において推薦するものをもって構成するものとし、
　その任期は2020年3月31日までとする。
3　会費が必要になった場合は、理事会で検討し決定することとする。



Membership Regulations

Chapter1 General rules

(Name)
Article 1. This network shall be named as “Sustainable Palm Oil Network. In English, it will be written
    “Japan Sustainable Palm Oil Network” and abbreviated as “JaSPON”.

(Office)
Article 2. JaSPON shall have its principal office at 1-4-23, Mita, Minatoku, Tokyo (WWF Japan).
    The term of such office will be one (1) year after the enactment of th is Membership Regulations,
    and the members will consider an appropriate office thereafter.

(Purpose)
Article 3. JaSPON shall have as its objective promoti ng the procurement and consumption of
    RSPO certified sustainable palm oil throughout the entire industry, through the sharing of information,
    exchange of opinions and other activities among members.

(Activities)
Article 4. In order to accomplish the objectiv es prescribed in Article 3 above, JaSPON shall
    conduct the following activities:
   (1) Collect and disseminat e of information related to the procurement of sustainable palm oil
   (2) Carry out a ctivities to promote the procurement and consumption of sustainable palm oil
   (3) Mutually exchange and disseminate information among members
   (4) Serve as a liaison for outside organizations, gather the opinions of Japanese stakeholders
      and negotiate on their behalf
   (5) Perform other activities needed to accomplish the purpose of JaSPON
Chapter 2 Members and directors

(Members)
Article 5. The members of ers of JaSPON shall be corporations that are themselves involved in
    corporations that are themselves involved in the procurement and use of sustainable palm oil
    the procurement and use of sustainable palm oil, as well as corporations and associations
    that are involved in promoting the procurement of sustainable palm oil, and agree with
    the purpose of JaSPON.
2  Corporations and associations that may be admitted as members of JaSPON shall be the following:
   (1) Corporations that are engaged in the business of processing, manufacture and sale of palm oil
   (2) Corporations that are engaged in the business of manufacture and sales of consumer products
      using palm oil
   (3) Corporations that are engaged in the retail or wholesale of consumer products using palm oil
   (4) Banks and investor-related entities
   (5) Organizations conducting inspections for RSPO certification
   (6) Associations aiming at the promotion of sustainable palm oil procurement and consumption
   (7) Affiliates and subsidiaries of the parent companies listed under (1) through (5), shall be
      automatically included upon the admission of such parent companies. An affiliate or subsidiary
      alone may also be admitted without the admission of its parent.
   (8) Those granted special admission by the Board.
3  Only corporations and associations that have already been involved in the procurement of
   sustainable palm oil or those that intend to do so, as deemed by the Board, may be admitted to JaSPON.

(Admission)
Article 6. Those wishing to be admitted as members shall submit a membership application
    in the required format to the Board and may be admitted upon approval by a majority of the Board.
2  Members shall submit to the secretariat the details concerning their representative.

(Withdrawal)
Article 7. Members wishing to leave JaSPON shall notify the Board of of their intent.

(Expulsion and disqualification)
Article 8. In case of a violation of the Membership Regulations or any other act contrary to
    the purpose of JaSPON, the member may be expulsed or disqualified by Board resolution.

(Appointment of directors)
Article 9. JaSPON shall establish the Board of directors by appointing directors as follows.
   (1) Four (4) or more directors, but no more than twenty (20)
2  Directors shall be selected by the Board among external experts recommended by a member,
   members volunteering or recommendation by other members.
3  One (1) of the directors shall be appointed as the chairperson.
4  The Chairperson shall be elected by vote among the directors.
5  The Chairperson may appoint a Vice Chairperson.

(Duties of directors)
Article 10. The Chairperson shall represent JaSPON and supervise its activities.
2  The Vice Chairperson shall assist the Chairperson and take theirt place in case of accident or resignation.
3  The directors shall compse the Board and conduct the activities of JaSPON pursuant
   to the Membership Regulations and the Board resolutions.

(Term of directors)
Article 11. The term of the directors shall be one (1) year, unless reappointed.
2  The term of directors who have been appointed through substitution or due to an increase
   in the total number of directors shall be the same as that of other directors.
3  The replacement of a director due to resignation, transfer or other circumstances during
   their term shall be appointed by the departing from within the organization of organization
   of the departing director. The term of the successor so appointed shall correspond with
   the remaining term of the resigning director.

(Dismissal of a director)
Article 12. In case of a violation of the Membership Regulations or any other act
    contrary to the purpose of JaSPON, a director may be removed by Board resolution.

Chapter 3 Operation of JaSPON

(Board of directors)
Article 13. The Chairperson shall call Board meetings.
2  The Board shall resolve the following matters. Resolutions may be adopted through email.
   (1) Appointment, dismissal and replacement of directors
   (2) Amendment of the Membership Regulations
   (3) Approval of admission and expulsion of members
   (4) Mergers and dissolution
   (5) Other matters necessary for the operation of JaSPON

(Resolutions)
Article 14. Resolutions of the Board shall be adopted by agreement of a majority
    of the members present. In the event of tie, the Chairperson shall decide the matter.
2  The Chairperson shall be the chair of the Board meetings.

Supplementary provisions
1  The Membership Regulations shall come into force on April 1, 2019.
2  The directors at the time of JaSPON’s formation shall be appointed shall be appointed by
   recommendation from the sponsor entities or at the sponsors’ meetiting and the term of
   such directors shall be until March 31, 2020.
3  The Board shall discuss and decide whether member dues are necessary.
